The agreement between you and Joppa Technologies LLC.

These Terms of Service ("Terms") are a binding agreement between Joppa Technologies LLC, a Wyoming limited liability company ("Joppa," "we," "us"), and the person or business that creates an account ("you"). They govern your use of Zora, our AI-assisted email and client-management product for event-service professionals (the "Service").
By creating an account, starting a free trial, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Zora connects to your Google account to help you read, organize, and draft replies to client email, detect and manage event-related calendar entries, and manage related client workflows (such as intake forms, invoices, and a client portal). Zora uses artificial intelligence to classify messages and generate draft content for your review. Features may change over time.
You must be at least 18 and able to form a binding contract. You're responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. One subscription covers one business account.
We offer a 10-day free trial. No payment card is required to start. At the end of the trial, you must choose a paid plan to keep using the Service; if you don't, you'll lose access to the app until you subscribe. Your data is retained in the meantime, and subscribing restores everything exactly where you left it. We may change or end the trial offer for future users at any time.
We may change subscription prices. We'll give you at least 30 days' notice before a change affects you, and the new price applies on your next renewal. If you don't agree, you may cancel before it takes effect.
You retain all rights to the content you and your clients provide ("Your Content"), including email content, contacts, and event details. You grant us a limited license to process Your Content solely to provide and improve the Service for you, as described in our Privacy Policy. You're responsible for having the right to provide Your Content and for complying with laws that apply to your communications with your clients.
Zora uses AI to generate drafts and suggestions. AI output can be inaccurate, incomplete, or inappropriate for a given situation. You are responsible for reviewing any AI-generated content before you send it, rely on it, or share it with a client. Zora does not send AI-generated replies on your behalf without an action you take. Automated operational messages that follow from actions you take (such as invoice payment reminders sent after you issue an invoice with a due date) are sent on your behalf automatically. AI output is not legal, financial, or professional advice.
You agree not to: use the Service for unlawful, deceptive, or abusive purposes; send spam or violate anti-spam, privacy, or marketing laws; infringe others' rights; attempt to breach security, reverse-engineer, scrape, or overload the Service; or use it to handle content you're not authorized to access. We may suspend accounts that violate this section.
The Service relies on third parties, including Google (Gmail and Calendar), Stripe (payments), and the AI and infrastructure providers listed in our Privacy Policy. Your use of Google's services through Zora is also subject to Google's terms. We're not responsible for third-party services we don't control.
The Service, including its software, design, and content (excluding Your Content), is owned by Joppa and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active and in good standing. You may not copy, resell, or create derivative works from the Service.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
To the maximum extent permitted by law, Joppa will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim. Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
You agree to indemnify and hold Joppa harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends; data handling after termination is described in the Privacy Policy.
We may update these Terms. If we make material changes, we'll notify you (for example, by email or in-app) before they take effect. Continued use after the effective date means you accept the updated Terms.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue there.
These Terms and the Privacy Policy are the entire agreement between us regarding the Service. If any provision is found unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control (except your payment obligations).
